Former Dentons Kensington Swan corporate and commercial partner Nick Scott has jumped to Lowndes Jordan as special counsel.

Scott brings over 35 years of corporate and commercial law experience. He focuses on M&A and takeovers.

He has assisted insurers on M&A warranty insurance placement and clients with divesting and acquiring businesses. Moreover, he has handled matters involving the Financial Markets Conduct Act, New Zealand Stock Exchange, directors’ duties and liabilities, franchise law and the impacts of global sanctions on commercial contracts.

Scott has aided in the resolution of shareholder and board disputes; he has also helped startups meet legal and compliance requirements, including equity structure, governance and shareholder agreements. His clients have included listed companies, local subsidiaries of multi-national companies and privately held New Zealand companies; he has also worked with business owners, directors, C-suite executives and in-house counsel.

His clients have included Fusion Specialty Insurance Pty Limited, Sealegs International Limited, Sedgwick New Zealand and Cogent Limited. He assisted Oyster Bay Marlborough Vineyards Limited’s NZAX listing and compliance requirements under listing rules; in the process, he defended complaints by Peter Yealands Investments Limited before NZC Discipline on Oyster Bay Marlborough Vineyards’ behalf.

Scott worked with Whānau Tahi Limited on a major transaction involving a health technology business with key ties to the Ministry of Health and district health boards in New Zealand – according to Lowndes Jordan, the transaction was strategically important to the organization’s work bolstering the livelihoods of New Zealand-based Māori. Scott also worked on Chow Group’s NZAX delisting.

Moreover, Scott seconded as general counsel for a New Zealand company launching its business in Dubai. According to Lowndes Jordan general manager David White, Scott “brings the kind of M&A expertise our clients need when they’re navigating complex transactions”.
