Allens assists on deals across projects, finance, M&A

Teams from Allens have assisted in recent deals spanning the projects, finance and M&A practice areas, among others.

A team led by partner Jodi Reinmuth advised Dampier Salt Limited (DSL) on the proposed divestiture of the Lake MacLeod salt and gypsum operations to Leichardt Industrials Group for $375m.

DSL is a joint venture comprising Rio Tinto, Marubeni Corporation and Sojitz. Rio Tinto holds 68%, Marubeni Corporation 22% and Sojitz 10%. The Lake MacLeod operations are located in Carnarvon, WA.

The completion of the transaction is contingent upon the satisfaction of certain commercial and regulatory conditions.

$75m BWP Trust capital raising

Meanwhile, a team of banking and finance lawyers spearheaded by partner Ben Farnsworth has helped BWP Trust to secure a $75m loan note facility arranged by Commonwealth Bank.

Loan notes were issued to various investors in this capital raising. The proceeds were to be used for the refinancing BWP Trust's existing debt obligations.

"BWP Trust's business model and track record of investing in and managing high-value commercial real estate, makes it an attractive proposition for debt investors", Farnsworth said.

He received support from senior associate Brittany Lawtie and lawyer Lennard Bremer.

A multidisciplinary team led by partner Tom Story also guided international private equity firm CapVest on its planned acquisition of ASX-listed Ansarada Group through CapVest’s portfolio company Datasite.

"This deal demonstrates the resilience of Australian technology companies which have developed proven platforms that are trusted by their clients", Story said.

Story and his team assisted on all aspects of the deal, including strategic approach, structuring, due diligence, and transaction documents. Additionally, the team collaborated closely with a team from CapVest and Datasite's international counsel Willkie Farr & Gallagher LLP.

The transaction is set to conclude by mid-2024.
