Logistics combination goes ahead with Gadens' advice

Gadens successfully guided Silk Contract Logistics in its acquisition of the Rocke Brothers wharf-cartage business.

The transaction brings together two companies with substantial histories in Victoria’s wharf-cartage industry, Gadens said. Financial details of the acquisition were not disclosed.

“This was not a straightforward transaction and it required a strategic approach. In the end, it was a good transaction for both parties, and all parties adopted a commercial approach to resolving the myriad of issues that arose throughout,” said Stephen Moulton , Gadens partner.

Gadens said it fielded a multidisciplinary team to advise on all aspects of the transaction, including due diligence, drafting and negotiating of transaction documentation and financing arrangements, and providing transaction structuring advice.

The corporate advisory and tax team from Gadens also included senior associate Winnie Sinn and lawyers Elizabeth Chow and James Langanis.

Gadens also fielded partner Elliot Raleigh and lawyer Harveen Dhaliwal from the banking and finance team. Property, construction, and planning partner Meg Lee, special counsel Sean Huggins, and associate Zina Teoh also advised on the deal. Employment matters were handled by partner Ian Dixon, associate Tessa Duthie, and lawyer Stacey Nicolaou.

Baker McKenzie advised Rocke Brothers, Ashurst advised Westpac, and King & Wood Mallesons advised Tor. For Silk, 333 Capital acted as corporate adviser and PwC acted as financial and tax advisers.
