Maddocks helps Navis Capital to snag majority stake in Software Combined

Maddocks has helped private equity group Navis Capital Partners to acquire a controlling stake in investment firm Software Combined.

The acquisition comes after Navis Capital bought three of Software Combined’s targets, and indicates Navis Capital’s plan to purchase additional software companies to create a software roll-up. Software Combined is an Australian investment firm which buys up and combines business-to-business enterprise software providers with the aim of establishing a much larger group.

Partner Andrew McNee led the Maddocks’ corporate and commercial team on the transaction. He was assisted by lawyers Lydia May, Eddy Goldsmith, Fumi Baughan, Jennifer Chen and Sarah Himmelhoch.

Maddocks worked alongside KPMG and GreenMount Advisory to complete the transaction. HWL Ebsworth and PwC Australia acted for Software Combined.

According to Maddocks, the acquisition is the “latest in a string of deals in which Maddocks has assisted Navis Capital, including acquisitions for its other roll-ups,” such as Modern Star, Device Technologies and Guardian Early Learning Centre.
