Rinnai Australia snaps up Smart Energy with Gadens' advice

Gadens has helped Rinnai Australia to acquire Smart Energy Group in a deal that enables Rinnai Australia to enter the photovoltaic technology market.

According to the firm, the deal is “expected to play a role in integrating renewable energy technologies into [Rinnai Australia’s] future operations”. The acquisition of Smart Energy Group’s parent company SEG Investment Holdings Pty Ltd was completed on 1 August.

The transaction facilitates the further development of Rinnai’s Australia offering. Smart Energy Group founders Beau Savage, Elliot Hayes and Jasper Boyschau will continue to provide strategic input as members of Smart Energy Group’s board.

Partner Richard Partridge headed up the Gadens corporate team that assisted on all aspects of the acquisition, including comprehensive legal due diligence, ACCC and energy regulatory considerations, and the negotiation of the sale agreement and co-ownership documentation.

Partridge and the transaction team received support from special counsel Faiza Bukhary, senior associate Robert Wilson and associate Brittany Dorney.

Rinnai Australia is a wholly owned subsidiary of Rinnai Japan Corporation that manufactures and distributes heating, cooling, and hot water products.
