Melbourne lawyer updates takeover bids book
Rodd Levy, a Melbourne based partner at Herbert Smith Freehills, has updated his guide to takeovers in Australia.
Takeovers Law & Strategy was first published in 1996 and has been updated four times previously. The new edition accounts for developments since the last edition was published five years ago.
The latest update includes guidance from the Takeovers Panel on frustrating action and shareholder intention statements; ASIC’s reissue of regulatory guides affecting takeovers; court decisions regarding various issues (including takeover funding requirements); and reforms to foreign investment laws and competition laws.
“Despite the current trend to undertake public company acquisitions by scheme of arrangement, approximately 40% of public company M&A in Australia is via takeover bid. The pressure on all participants and their advisers in a friendly or a contested bid means that understanding the law is critical,” Levy said.

The Australian Alternative Disputes Resolution Awards have named Sydney-based Ashurst partner Georgia Quick as ADR practitioner of the year.
"The award is deserving recognition of Georgia's commitment to the growing area of alternative dispute resolution and her ongoing, unwavering commitment to creating the best outcomes for clients," said Mark Elvy practice group lead, Australia, dispute resolution.
Other winners at the Sydney Ballroom last week included barrister Mary Walker being named Mediator of the Year, Siobhan Ni Fhaolain of the Administrative Appeals Tribunal ACT being named Conciliator of the Year and the Supreme Court of Western Australia being awarded the Courts and Tribunals ADR Group of the Year.
Clifford Chance in Perth was awarded ADR Practice Group of the Year.
Illegal immigrants can now become lawyers in US
The American bar Association has voted to allow those seeking legal immigration status in the US to apply for a license to practice law even if they have entered the country illegally.
The ABA House of Delegates agreed with a proposal by the Law Student Division recommending that state courts with authority to regulate admission to the bar admit undocumented law school graduates if they are seeking legal status.
The national policy builds on the standard in seven states.
