King & Wood Mallesons (KWM) has helped a listed Australian company buy America’s fourth-largest brick maker.

Brickworks Ltd has acquired Glen-Gery for $151m, marking the company’s first major offshore acquisition. The deal gives it access to long-term growth opportunities in the large US market.

Partner David Friedlander and special counsel Matt Egerton-Warburton headed the KWM team. They were supported by Jo Ruitenberg, Mandy Tsang, Scott Bouvier, and Lauren D’Ambrosi.

“While a large percentage of our M&A transactions involve inbound acquisition of Australian companies and assets, we love supporting strong Australian companies making acquisitions offshore,” Egerton-Warburton said.

KWM said that it coordinated on due diligence, organised the US representations and warranties insurance, and drafted and negotiated the New York law stock purchase and transition services agreements.

KWM worked with Morgan, Lewis & Bockius, which provided support on US law matters.
